Terms of Service

AXL ("AXL", "we", "us", "our") is an online marketplace platform operated by AXL Labs Pte. Ltd., a company incorporated in Singapore. AXL connects car owners and fleet operators ("Users") with independent automotive service providers including workshops, bodyshops, and specialty vendors (collectively, "Vendors").

By creating an account or using any part of the AXL platform (the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

AXL does not itself provide any automotive services. We are a technology platform that facilitates connections between Users and Vendors. When you submit a service request, you are requesting quotes from independent third-party Vendors — not from AXL.

Any contract for automotive services is formed directly between the User and the Vendor. AXL is not a party to that contract and has no responsibility for its performance, outcome, or any dispute arising from it.

AXL does not employ, supervise, direct, or control Vendors. Vendors are independent businesses and are solely responsible for the quality, safety, timeliness, and compliance of their work.

AXL expressly disclaims all liability for:

• The quality, workmanship, safety, or fitness for purpose of any services carried out by a Vendor;
• Any damage to your vehicle, property, or persons arising from services performed by a Vendor;
• Any failure by a Vendor to perform services quoted or agreed;
• Misrepresentations made by a Vendor, whether in a quote, profile, or direct communication;
• Parts, materials, or products supplied by a Vendor;
• Any consequential, indirect, or economic loss arising from your use of Vendor services.

You acknowledge that AXL's verification process (including the "Verified" badge) is a limited administrative check and does not constitute an endorsement, warranty, or guarantee of a Vendor's competence, licensing, quality of work, or suitability for your needs. The Verified badge indicates only that basic business information has been reviewed — it is not a certification of any kind.

All disputes regarding the quality or outcome of services must be resolved directly between you and the Vendor.

Quotes submitted by Vendors through the Platform are offers made by those Vendors and are not binding on AXL. AXL does not guarantee the accuracy, completeness, or availability of any quote.

AXL does not process payments on behalf of Vendors. Any payment, deposit, or financial arrangement is made directly between the User and the Vendor. AXL is not responsible for any financial loss arising from such transactions.

AXL reserves the right to remove, hide, or flag quotes or Vendor profiles at any time and for any reason, without notice or liability.

By using the Platform you agree to:

• Provide accurate, complete, and up-to-date information in your account and service requests;
• Use the Platform only for lawful purposes and in accordance with these Terms;
• Not submit false, misleading, or spam service requests;
• Not attempt to circumvent the Platform by taking relationships with Vendors off-platform in bad faith;
• Not use the Platform to harass, defame, or harm any Vendor or other user;
• Not attempt to reverse-engineer, scrape, or otherwise misuse the Platform.

Vendors registered on AXL agree to:

• Maintain all licences, permits, and registrations required to operate an automotive service business in Singapore;
• Provide services in a professional and workmanlike manner;
• Submit only honest, accurate, and good-faith quotes;
• Comply with all applicable laws including consumer protection legislation;
• Not misrepresent their qualifications, capabilities, or service pricing;
• Indemnify and hold AXL harmless from any claim arising from the Vendor's services or conduct.

To the fullest extent permitted by applicable Singapore law, AXL's total cumulative liability to you (whether in contract, tort, statute, or otherwise) arising out of or related to your use of the Platform shall not exceed SGD 100 or the amount of any platform fees paid by you to AXL in the three months preceding the claim, whichever is greater.

AXL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, vehicle damage, or personal injury, even if AXL has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, the exclusions apply to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless AXL Labs Pte. Ltd., its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) any content or information you submit; or (d) any dispute between you and a Vendor.

All content, design, software, trademarks, and materials on the Platform are owned by or licensed to AXL Labs Pte. Ltd. You may not reproduce, distribute, or create derivative works without our express written permission.

By submitting content to the Platform (including reviews, service descriptions, or photos), you grant AXL a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content in connection with operating and promoting the Platform.

AXL reserves the right to suspend or terminate any account at any time, with or without notice, for any reason, including but not limited to breach of these Terms, fraudulent activity, or conduct that AXL deems harmful to the Platform or its users.

You may close your account at any time by contacting us at support@axl.sg. Closure does not affect any obligations that arose before termination.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to our collection and use of your information as described therein.

The Platform is provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AXL does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.

AXL shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, government action, power failures, or internet outages.

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising from or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

AXL encourages Users and Vendors to resolve disputes amicably in the first instance. AXL may, at its sole discretion and without obligation, assist in facilitating communication between parties but is not required to do so and shall have no liability for the outcome.

AXL reserves the right to modify these Terms at any time. We will notify registered users of material changes by email or prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
